    Terms of Service

    Effective 16 April 2026. By creating an account or paying a subscription you agree to these terms.

    Counsel review required. This template is structurally complete but has not been reviewed by Ghanaian counsel. Every section marked [Counsel review] must be verified or replaced before the terms take effect.

    Who this agreement is with

    These terms are an agreement between CediSync ("CediSync", "we", "us") and the bureau or person creating an account ("you", "your bureau"). If you are accepting on behalf of a company, you confirm you have authority to bind that company.

    Your account

    You are responsible for keeping your account credentials private, for the actions taken by users you invite, and for the accuracy of the data you enter. Each user account must be used by one person — shared logins are not permitted.

    You confirm that the bureau you represent holds all licenses and regulatory approvals required to operate a forex bureau in Ghana. CediSync provides software; we do not hold or transfer client funds.

    Acceptable use

    You agree not to use CediSync to:

    • Violate any applicable law, including AML, sanctions, or tax law.
    • Attempt to breach or probe the security of the service.
    • Resell, sublicense, or provide the service to third parties outside your bureau without our written agreement.
    • Upload malicious code, spam, or content that infringes another party's rights.
    • Reverse-engineer, decompile, or attempt to extract source code.

    Fees and billing

    Subscription fees are quoted in Ghanaian cedis and billed monthly or annually in advance through Paystack. Fees are invoiced automatically; you can view and download invoices from the billing page in the app.

    If a payment fails, we notify you and give a reasonable grace period before downgrading service. We may change prices with at least 30 days' notice. Existing billing periods are honoured at the agreed price.

    Trial and cancellation

    We offer a 14-day free trial on new accounts. No credit card is required during trial.

    You can cancel any paid subscription from the billing page at any time. Cancellation takes effect at the end of the current billing period.

    Refunds: within 30 days of your first paid subscription, we refund in full if CediSync isn't right for you.

    Your data

    You own the data you put into CediSync. We process it on your behalf to deliver the service (see our privacy policy and DPA). You can export all your data to CSV at any time — before, during, or after cancellation.

    Service availability

    We target 99.9% monthly uptime for production services. Scheduled maintenance is announced in advance.

    Uptime SLAs with formal service credits are available on the Enterprise plan. For all other plans, we make reasonable efforts to maintain availability without formal credits.

    Intellectual property

    CediSync and all its components — software, design, documentation, brand — remain the property of CediSync. Your data remains yours. You grant us a limited licence to process your data solely to provide the service.

    Warranties and disclaimers

    We provide the service on an "as is" and "as available" basis. We do not warrant that the service will be error-free, uninterrupted, or fit for every possible use case beyond what is documented.

    Limitation of liability

    To the fullest extent permitted by law, neither party is liable for indirect, incidental, consequential, or special damages. Our total aggregate liability in any 12-month period is limited to the greater of the subscription fees you paid in that period or five thousand cedis (₵5,000).

    Governing law and disputes

    These terms are governed by the laws of the Republic of Ghana. Disputes that cannot be resolved informally will be settled by arbitration in Accra under the rules of the Ghana Arbitration Centre.

    Changes to these terms

    We may update these terms. Material changes are notified to account owners by email at least 30 days before they take effect.
